Seller Agreement (Cooperatives)

1. Enrollment Requirements

Cooperatives must submit the following:

• Ministry of Finance registration certificate and tax number.

• Ministry of Agriculture cooperative registration number.

• Bank account details for payout transfers.

2. Product Listing & Compliance

Cooperatives are responsible for:

• Providing accurate bilingual (Arabic and English) product titles, descriptions, weights, ingredients, and expiry dates.

• Uploading high-resolution product images without watermarks.

• Complying with all applicable Lebanese laws relating to food safety, consumer protection, trademarks, and advertising.

3. Fees & Payouts

Net proceeds will be remitted to the Cooperative's designated bank account fourteen (14) days after the order has been confirmed as delivered.

4. Order Fulfillment

Cooperatives must:

• Dispatch orders within three (3) business days.

• Maintain an on-time dispatch rate of at least 95%.

• Maintain a valid customer complaint or order cancellation rate below 3%.

5. Performance Monitoring & Penalties

Failure to meet the required performance standards may result in one or more of the following actions:

• Warning.

• Removal of product listings.

• Temporary suspension of the seller account.

• Financial penalties, where applicable.

• Permanent account termination.

6. Prohibited Conduct

Cooperatives must not:

• Engage in corruption, fraud, or misrepresentation.

• Maintain relationships with sanctioned individuals or entities.

• Sell prohibited products as defined in the Listing Policy.

7. Compliance & Ethics

Cooperatives must comply with the United Nations Supplier Code of Conduct and all applicable laws and regulations.

8. Intellectual Property

Cooperatives represent and warrant that they own or have the necessary authorization to use all trademarks, copyrights, designs, and other intellectual property associated with the products and content they publish on the Platform.

9. Indemnification & Limitation of Liability

Cooperatives agree to indemnify and hold harmless UNDP, ESCWA, and the Platform against any claims, liabilities, damages, losses, or expenses arising from their sales activities or any breach of this Agreement.

10. Confidentiality

All non-public information relating to the Platform, including business information, analytics, operational data, and other confidential information, must be kept strictly confidential and may not be disclosed without prior authorization.

11. Term & Termination

This Agreement shall remain in effect until terminated by either party upon thirty (30) days' prior written notice or immediately where termination is justified for cause.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the Republic of Lebanon.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Beirut.
